General Terms and Conditions of Business

1. Scope of Application
1.1 These Terms and Conditions govern all services provided by NOMAD Travel Connectors, trading as NOMAD Destination Germany (hereinafter "NOMAD"), to business clients.
1.2 NOMAD works exclusively with business clients. These are tour operators, travel agencies, travel management companies, MICE and event agencies, and corporate clients booking for business purposes. NOMAD does not enter into contracts with consumers and does not accept bookings from individual travellers acting outside their trade, business or profession.
1.3 The client confirms upon enquiry that it is acting in a commercial or professional capacity. Where a client is found not to be acting in such a capacity, NOMAD may refuse or terminate the booking.
1.4 The client's own terms and conditions do not apply, even where NOMAD does not expressly object to them.
2. The Role of NOMAD
2.1 NOMAD may act in the following capacities:
a) Destination Management Company (DMC). NOMAD plans, sources, coordinates and operates ground services in Germany, Austria and Switzerland — including accommodation, venues, transport, guiding, catering, meeting facilities and supporting programmes — for onward sale or use by the client. This is NOMAD's standard role.
b) Travel agent. NOMAD arranges individual services in the name and for the account of the respective service provider.
c) Tour operator. In exceptional cases, NOMAD combines several travel services into a package offered in its own name within the meaning of § 651a of the German Civil Code (BGB). Where this applies, Clause 10 governs.
2.2 The capacity in which NOMAD acts is stated in the respective offer or group agreement before the contract is concluded.
2.3 Where the client resells the services provided by NOMAD to its own customers, the client acts as the organiser or seller towards those customers. The client is solely responsible for its own contractual and statutory obligations towards its customers, including any information, insolvency protection and liability obligations under applicable law. NOMAD is not a party to the contract between the client and its customers.
3. Group Agreements and Order of Precedence
3.1 Group bookings, corporate programmes, events and MICE arrangements are confirmed by a separate written group agreement between NOMAD and the client. The group agreement sets out the agreed services, inclusions and exclusions, the number of participants, prices, the payment schedule, cancellation terms, deadlines for rooming lists and participant details, and any minimum numbers.
3.2 Where a group agreement contains provisions that deviate from these Terms and Conditions, the group agreement prevails.
3.3 Where a group agreement is silent on a matter, these Terms and Conditions apply. In particular, the payment terms under Clause 7 and the cancellation charges under Clause 8 apply as the default position unless the group agreement provides otherwise.
3.4 Individual arrangements and small bookings may be confirmed by written booking confirmation without a separate group agreement. In that case these Terms and Conditions apply in full.
4. Services
4.1 NOMAD provides and arranges in particular:
- Ground programmes for groups travelling to Germany, Austria and Switzerland
- Cross-border programmes combining destinations in these three countries
- Accommodation and hotel allocations, including during trade fair periods
- Venues, meeting and conference facilities
- Transport, transfers and coach services
- Guiding, hostessing and on-site coordination
- Catering, restaurant reservations and evening programmes
- Excursions, experiences and supporting programmes
- Corporate delegations, roadshows, incentives and events
- Travel arrangements for individual travellers referred by trade partners
4.2 Service providers are selected with due care.
4.3 Services are provided as specified in the offer or group agreement. Services not expressly listed are not included.
5. Enquiries, Offers and Conclusion of Contract
5.1 Information published on the NOMAD website or in general documentation is non-binding and does not constitute an offer.
5.2 Offers issued by NOMAD are valid for the period stated in the offer. Where no period is stated, the offer is valid for seven days. Prices and availability are subject to confirmation until the contract is concluded.
5.3 The contract is concluded when NOMAD confirms the booking in text form, or when both parties have signed the group agreement.
5.4 Services described in an offer as "on request" are not confirmed and do not form part of the contract until NOMAD confirms them in text form.
6. Prices, Taxes and Currency
6.1 All prices are quoted in Euro (EUR) unless expressly agreed otherwise. The client bears any currency conversion costs, bank charges and transfer fees.
6.2 Prices are net prices for the client. Where the client resells the services, the client sets its own selling price. NOMAD does not pay commission unless expressly agreed in writing.
6.3 Where NOMAD provides travel services within the meaning of § 25 of the German VAT Act (UStG), the margin scheme for travel services applies. In accordance with § 14a (6) UStG, invoices carry the notation "Sonderregelung für Reisebüros / Margin scheme — travel agents". Value added tax is not shown separately and the client is not entitled to deduct input tax from these invoices.
6.4 Where NOMAD provides services that do not constitute travel services — such as venue hire, event management or standalone catering — those services are invoiced under the standard VAT rules applicable at the time.
6.5 Where travel services are performed outside the territory of the European Union, the margin may be exempt from VAT under § 25 (2) UStG. Where a programme combines services performed inside and outside the European Union, the margin is apportioned accordingly.
6.6 Prices are based on the costs, taxes, levies and exchange rates applicable at the time of the offer. Where these change materially before the start of services through no fault of NOMAD, NOMAD may adjust the price accordingly, stating the reason. Price adjustments within 20 days before the start of services are excluded.
7. Payment
7.1 Payment is made by bank transfer against invoice, or via a payment link provided by NOMAD through Stripe or Revolut. Payment card and account data are processed exclusively by the respective payment service provider. NOMAD does not store full payment data.
7.2 Unless the group agreement provides otherwise, the following payment schedule applies:

7.3 Where a booking is confirmed less than 30 days before the start of services, the total price is due immediately upon confirmation.
7.4 Individual service providers may require earlier payment or non-refundable prepayment, in particular for hotel allocations during trade fair periods, venues, and event services. Where this applies, NOMAD states it in the offer and may require the corresponding amount in advance.
7.5 Services are provided only after payment has been received in full and on time. Where payment is not received by the agreed date, NOMAD may, after setting a reasonable deadline, withdraw from the contract and charge the cancellation charges under Clause 8.
7.6 All payments must be received free of deductions. Bank charges and intermediary bank fees are borne by the client.
7.7 The client may set off only against claims that are undisputed or have been established by a final court decision.
8. Cancellation and Amendments
8.1 The client may withdraw from the contract at any time before the start of services. Withdrawal must be declared in text form. The date on which the declaration is received by NOMAD is decisive.
8.2 In the event of withdrawal, NOMAD is entitled to reasonable compensation. The following cancellation charges apply as the standard position. Where a group agreement, an individual offer or a framework agreement sets out different cancellation terms for a specific booking, those terms prevail over this Clause 8.2 for that booking. Deviating terms may be required in particular where service providers impose stricter conditions, for example for hotel allocations during trade fair periods, venue reservations, charter transport or event services.

8.3 In addition to the charges under 8.2, services that have been firmly confirmed to third-party providers such as hotels, venues, transport companies or event suppliers and can no longer be cancelled free of charge may be invoiced in full, where those costs have already been incurred or NOMAD remains contractually liable to pay them.
8.4 NOMAD reserves the right to prove a higher loss. The client is entitled to prove that no loss, or a substantially lower loss, has been incurred.
8.5 A reduction in participant numbers below a minimum number agreed in the group agreement is treated as a partial cancellation and is charged in accordance with 8.2.
8.6 Amendments to travel dates, participant numbers or booked services are treated as a cancellation followed by a new booking, unless otherwise agreed. NOMAD may charge a reasonable administration fee together with any additional costs charged by service providers.
9. Client Obligations
9.1 The client shall check booking confirmations and documentation without delay and notify NOMAD immediately of any discrepancies.
9.2 The client shall provide rooming lists, participant names, passport details where required, dietary requirements and any accessibility requirements by the deadlines set out in the group agreement. Where information is provided late, NOMAD cannot guarantee that the requested services can still be delivered.
9.3 The client is responsible for ensuring that all travellers hold valid travel documents and any visas required for entry into and transit through the Schengen Area, and for compliance with all entry requirements. NOMAD may provide supporting documentation such as confirmation letters, but does not advise on visa eligibility and assumes no responsibility for the granting of visas or for the consequences of a visa being refused or issued late. 9.4 Where the client resells the services, the client is responsible for passing on all relevant information to its own customers.
9.5 The client shall notify NOMAD without delay of any incident, complaint or potential claim so that NOMAD can respond and, where relevant, notify its insurer.
10. Where NOMAD Acts as Tour Operator
10.1 Where NOMAD exceptionally acts as tour operator within the meaning of § 651a BGB, the provisions of German package travel law apply in addition to these Terms and Conditions and take precedence over them where mandatory.
10.2 In that case the traveller receives a certificate of insolvency protection (Sicherungsschein) pursuant to § 651r BGB. The insolvency insurer is R+V Allgemeine Versicherung AG, Raiffeisenplatz 1, 65189 Wiesbaden, Germany.
10.3 The insolvency insurer's liability is limited by law to one million Euro per insolvency event. Where this amount is insufficient to cover all travellers, individual claims are reduced proportionately.
10.4 Statutory rights under § 651r (4) BGB exist directly against the insolvency insurer.
10.5 Clause 10 does not apply where NOMAD acts as a DMC or travel agent under Clause 2.1 a) or b).
11. Liability
11.1 Where NOMAD acts as a travel agent, NOMAD is liable only for the proper arrangement of the booked services. Responsibility for performance lies with the respective service provider.
11.2 Where NOMAD acts as a DMC, NOMAD is liable for the services it has expressly undertaken to provide under the contract.
11.3 Where NOMAD acts as tour operator, liability follows German package travel law.
11.4 NOMAD is liable without limitation for damage caused intentionally or through gross negligence, and for injury to life, body or health.
11.5 In cases of slight negligence, liability is limited to the breach of material contractual obligations and to foreseeable damage typical of this type of contract. Liability for indirect damage, loss of profit and consequential loss is excluded in cases of slight negligence.
11.6 NOMAD maintains business and professional indemnity insurance appropriate to its activities. To the extent permitted by law, liability is limited to the cover provided under that policy.
11.7 The limitations in this Clause also apply in favour of NOMAD's employees, representatives and subcontractors.
12. Force Majeure
12.1 Where the performance of services is significantly impaired, endangered or prevented by unavoidable and extraordinary circumstances that were unforeseeable at the time the contract was concluded — including natural disasters, epidemics, war, civil unrest, terrorism, official orders, closure of airspace or the discontinuation of flight connections — either party may terminate the contract.
12.2 In that case NOMAD is entitled to reasonable compensation for services already rendered and for costs that have already been incurred towards third-party providers and can no longer be avoided.
12.3 Where possible, NOMAD will offer the client an alternative date or an equivalent alternative programme.
13. Data Protection
13.1 NOMAD processes personal data solely for the purpose of performing the contract and in accordance with applicable data protection law, in particular the General Data Protection Regulation (GDPR).
13.2 Where the client transmits personal data of travellers to NOMAD — such as names, passport details, dietary requirements or accessibility needs — the client warrants that it is entitled to do so and that the travellers have been informed in accordance with applicable law.
13.3 NOMAD passes such data to service providers only to the extent necessary for the performance of the booked services, and deletes it once the statutory retention periods have expired.

14. Images, Copyright and Rights of Use
14.1 All content created or commissioned by NOMAD — including text, images, video, graphics and layouts — is protected by copyright. Use by third parties requires prior written consent.
14.2 Where the client provides image material to NOMAD, the client warrants that it holds all necessary rights for the intended contractual use and indemnifies NOMAD against third-party claims arising from unlawful use.
14.3 NOMAD uses image material from licensed or royalty-free sources in accordance with the applicable licence terms, and attributes authorship where required.
14.4 NOMAD will use image material showing identifiable individuals for marketing or reference purposes only with the express consent of the persons concerned.
14.5 Notices of alleged infringement may be sent to book@nomad-travel.de. NOMAD will review such notices without delay and remove or block infringing content following legal assessment.
15. Governing Law and Jurisdiction
15.1 The contractual relationship is governed exclusively by German law, excluding the UN Convention on Contracts for the International Sale of Goods.
15.2 The place of jurisdiction for all disputes is Frankfurt am Main, Germany.
15.3 These Terms and Conditions are issued in English. Where a German translation is provided, the English version prevails. In proceedings before German courts, a certified German translation may be required.
16. Amendments
NOMAD may amend these Terms and Conditions with effect for the future. The version applicable at the time the contract is concluded governs that contract.
17. Severability
Should any provision of these Terms and Conditions be or become invalid, the validity of the remaining provisions is unaffected. The invalid provision shall be replaced by a valid provision that most closely reflects its economic purpose.
